T.J. Hope to serve on panel at the National Association of Corporate Directors Chapter Meeting

Despite difficult economic conditions, transactions are still getting done in today’s environment.   However, as companies continue to be acquisitive -- or perhaps look for a strategic buyer -- the increased scrutiny placed on these transactions by investors, regulators, media members, and other stakeholders means that board members need to be more aware than ever of all of the legal, financial, and regulatory implications of any deal.

On December 14, T.J. Hope, CFA, Director in the Valuation & Financial Opinions Group, will serve on an expert panel at the NACD-Connecticut chapter meeting that will discuss the specifics of director fiduciary duties in M&A transactions, the role of directors in deal negotiations and due diligence, the role of the financial advisor's analysis and fairness opinion, and other matters that board members should consider when reviewing and approving a transaction, such as pending litigation and the earnings impact of the deal.
